Responsibilities

📍Manage entity formation and setup for emerging companies. 📍Oversee equity and debt financings, including structuring and negotiation. 📍Draft and negotiate commercial contracts. 📍Provide counsel on corporate governance and compliance matters. 📍Advise on employment law and equity compensation strategies. 📍Manage capitalization tables and related documentation. 📍Handle mergers and acquisitions (M&A) transactions. 📍Serve as “outside general counsel” to clients. 📍Address other general corporate legal matters as needed. 📍Collaborate closely with the Managing Partner to deliver client-focused solutions. 📍Stay informed on developments in Web3 and blockchain technologies.

Requirements

📍Juris Doctor (J.D.) degree with strong academic credentials. Membership in the New York State Bar is preferred but not required if admitted in another jurisdiction. 📍2–8 years of experience at a law firm with an Emerging Companies & Venture Capital (ECVC) or similar practice group, or in-house experience with a technology company. 📍Knowledge and experience in Web3 and blockchain technologies are preferred but not required. 📍Excellent project management, analytical, and communication skills, both oral and written. 📍Proven ability to work independently while staying connected in a remote work environment, especially if located separately from other team members.
