Job Summary

Key Responsibilities of the role

📍Working primarily within our Corporate Legal function and together with other members of the Legal Team to provide general support of our business. 📍Supporting corporate transactions such as entity formation, internal corporate reorganisation, employee incentive scheme, mergers and acquisitions and due diligence exercises and be the internal lead for contentious and real estate matters and intellectual property filings. 📍Supporting the People Team on employment related matters. 📍Assisting with the management and maintenance of corporate records, filings and licences of group entities to ensure compliance with regulatory requirements. 📍Assisting with corporate governance matters including preparing board meeting materials, resolutions of group entities and liaising with board members and shareholders for necessary approvals. 📍Providing general administrative support to the Legal Team including maintaining calendars, scheduling board and committee meetings and organising documents. 📍Assisting Compliance and Regulatory Legal with new licence applications and Product Legal with corporate aspects of new product structuring. 📍Working with external counsel as and when required, including managing legal spend and invoices. 📍Helping with the development of trainee solicitors and paralegals. 📍Assisting with ongoing development and maintenance of a contract management solution and effective management of documentation records. 📍Negotiating third party agreements relating to corporate structuring, governance and processes.

Your experience, skills and knowledge

📍Qualified solicitor, or barrister in a common law jurisdiction. 📍A minimum of 2 years of post-qualification experience including at least one year at a law firm. We prefer candidates with corporate post qualification experience. 📍However, we will consider candidates who have not qualified into corporate but gained experience in their corporate seat during their training contract. 📍Must have strong understanding and knowledge of corporate law principles and concepts. 📍Ability to manage transactions and awareness as to when to escalate issues to senior members of the Legal team. 📍Keeping up-to-speed with developments in the law and regulation relevant to the role and sharing knowhow as appropriate within the Legal team. 📍Exceptional drafting skills and attention to detail alongside effective written and oral communication. 📍An interest and curiosity in financial technology, tokenisation and crypto (although professional experience not essential). 📍Ability to prioritise and manage projects from inception through to completion with a strong attention to detail. 📍Willingness to embrace ambiguous issues and situations, requiring you to be a creative problem solver. 📍Strong commercial acumen, with the ability to identify and articulate key risks for escalation.
