Job Summary
Blockdaemon is seeking a Corporate Paralegal to help with corporate and equities projects on a temporary basis with the potential to extend to a full time opportunity. As Corporate Paralegal, you will support Blockdaemon’s legal team and the entire blockchain infrastructure business. In this role, you will interact directly with the senior members of the legal team and other departments across the company as you help us navigate our equity program, board approvals and other corporate transactions. You will also contribute on a wide array of legal matters, including: commercial agreements; corporate governance; M&A activities; intercompany structuring; employment, equity, and compensation matters; and partnering with the compliance team to ensure regulatory compliance of new and existing products.
Position Overview:
Handle the day-to-day duties of the equity program, including processing stock option exercises, share transfers, and issuing new employee grants. Assist with drafting and maintaining board approvals, corporate books, stock certificates, stock ledgers, etc. Assist with drafting and negotiating commercial agreements. Support contract finalization and execution, including coordination regarding internal approval processes. Support mergers and acquisition team on due diligence projects. Responding to inquiries from and interactions with internal employees, contractors, customers, vendors, and outside counsel. Collaborate with cross functional teams including Finance, Accounting, People Operations, and Compliance to develop and maintain business and policy projects.
Required Experience:
Junior attorney or recent law school graduate (will consider experienced paralegal for right candidate). Experience or relevant coursework relating to corporations, corporate transactions, transactional drafting, M&A and/or securities law preferred. Excellent verbal and written communication skills. Self-starter attitude and a willingness to grow and adapt with an exciting company in a high-growth space. Experience or an interest in web3 or blockchain technology preferred. Preference given to those with experience with equity grants, analyzing commercial contracts, working within Carta equity software or Linksquares contract management system.
